REM BIZ – Terms and Conditions

1. Introduction

Welcome to REM BIZ by World Data Inc. (WDI), an innovation ecosystem designed to connect entrepreneurs, investors, and corporate partners. These Terms of Use ("Terms") govern your access to and use of our Platform, as well as all related services.

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you are not permitted to access the Platform.

2. Definitions

  • User: Any individual or entity that accesses or uses the Platform.
  • Subscription: The paid access to our Platform and its features.
  • Content: All information, text, graphics, photos, designs, or other materials submitted, displayed, or made available through the Platform.
  • Innovation Assets: Ideas, concepts, prototypes, business models, or other intellectual property submitted through the Platform.
  • Pilot: A limited implementation of an Innovation Asset to evaluate its viability.
  • Financing: Funding opportunities facilitated through the Platform.

3. Account Registration and Subscription

3.1 Account Creation

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Subscription Plans

Access to the Platform is available through subscription plans. Details of available plans, pricing, and features are available on our website. We reserve the right to modify subscription offerings at any time.

3.3 Payment Terms

  • Subscription fees are charged in advance on an annual basis.
  • All fees are non-refundable except as expressly provided in these Terms.
  • You are responsible for all taxes associated with your subscription.

4. Platform Rules and Conduct

4.1 General Conduct

  • Comply with all applicable laws and regulations.
  • Respect the intellectual property rights of others.
  • Not engage in any activity that interferes with or disrupts the Platform.
  • Not attempt to gain unauthorized access to any portion of the Platform.

4.2 Innovation Asset Submission

  • Provide accurate and complete information about the Innovation Asset.
  • Only submit Innovation Assets they have the right to share.
  • Clearly indicate any third-party intellectual property incorporated into the Innovation Asset.

4.3 Prohibited Activities

Users are expressly prohibited from:

  • Using the Platform to disseminate malware, viruses, or other malicious code. Scraping or collecting user data from the Platform.
  • Attempting to probe, scan, or evaluate the vulnerability of the Platform or any connected system. Impersonating another user or entity.
  • Using the Platform for any illegal purposes

5. Intellectual Property

5.1 Platform Content

All Content provided by the Platform is owned by World Data Inc. or its licensors and is protected by intellectual property laws.

5.2 User-Generated Content

  • Users retain ownership of their Innovation Assets submitted to the Platform.
  • By submitting Innovation Assets, Users grant World Data Inc. a non-exclusive, worldwide, royalty-free license to display, promote, and facilitate connections related to the Innovation Asset within the Platform.
  • This license does not give World Data Inc. ownership rights to the Innovation Asset or the ability to develop or commercialize it without the User's explicit consent.

5.3 Non-Disclosure

  • The Platform includes confidentiality measures designed to protect Users' Innovation Assets.
  • All Users agree to maintain the confidentiality of Innovation Assets they access through the Platform unless the owner grants explicit permission for disclosure.

6. Pilot Programs

6.1 Pilot Facilitation

The Platform facilitates connections between Innovation Asset owners and potential pilot partners. World Data Inc. does not guarantee that any Innovation Asset will be selected for a pilot program.

6.2 Pilot Agreements

All pilot programs must be governed by separate agreements between the involved parties. World Data Inc. is not a party to these agreements unless explicitly stated.

The Platform may provide template agreements, but Users are responsible for ensuring any agreement meets their specific needs.

7. Financing Opportunities

7.1 Investor Connections

  • The Platform connects Innovation Asset owners with potential investors.
  • World Data Inc. does not guarantee any financing outcomes.
  • World Data Inc. is not a broker-dealer, investment advisor, or funding portal.

7.2 Investment Disclaimers

  • All investment decisions are made solely between investors and Innovation Asset owners.
  • Users acknowledge that investing in early-stage ideas involves significant risk.
  • Users are solely responsible for conducting due diligence before entering into any investment relationship.

8. Data Privacy and Security

8.1 Data Collection

World Data Inc. collects and processes user data as described in our Privacy Policy, which is incorporated by reference into these Terms.

8.2 Data Collection

World Data Inc. implements reasonable security measures to protect user data but cannot guarantee absolute security. Users acknowledge this inherent limitation of online platforms.

8.3 Third-Party Access

Users understand that Innovation Assets and related information may be accessible to other users of the Platform according to the permissions granted during submission.

9. Liability Limitations

9.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

9.2 Limitation of Liability

To the maximum extent permitted by law, World Data Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of, or relating to the use of or inability to use the Platform.

9.3 No Advisory Relationship

  • World Data Inc. does not provide legal, financial, business, or other professional advice.
  • Users should consult with appropriate professionals for specific advice.

10. Indemnification

Users agree to indemnify, defend, and hold harmless World Data Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

  • Your access to or use of the Platform. Your violation of these Terms.
  • Your violation of any third-party right, including without limitation any intellectual property right.
  • Any Innovation Asset submitted by you.

11. Term and Termination

11.1 Term

These Terms shall remain in full force and effect while you use the Platform or maintain a subscription.

11.2 Termination by User

You may terminate your account at any time by following the instructions on the Platform.

11.3 Termination by World Data Inc

World Data Inc. may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11.4 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive termination.

12. Changes to Terms

World Data Inc. reserves the right to modify these Terms at any time. We will provide notice of significant changes through the Platform or via email. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

13.2 Dispute Resolution Process

Any dispute arising from these Terms shall be resolved through:

  • Informal negotiation (30 days)
  • Mediation (if negotiation fails)
  • Binding arbitration (if mediation fails)

13.3 Dispute Resolution Process

Any proceedings to resolve disputes shall be conducted on an individual basis, not as a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between Users and World Data Inc. regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

The failure of World Data Inc. to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

Users may not assign these Terms without the prior written consent of World Data Inc. World Data Inc. may assign these Terms without restriction.
